The terms that govern your access to and use of Olivra.
1. Overview
These Terms and Conditions (“Terms”) govern your access to and use of Olivra™ (“Olivra,” “we,” “our,” or “us”) and all related software, content, and services (the “Services”).
By accessing or using Olivra.io, you agree to these Terms. If you do not agree, you may not use the Services.
2. Eligibility
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use Olivra.
By using the Services, you represent that you have the authority to bind yourself or your organization to these Terms.
3. Account Registration
To access certain features, you may be required to create an account. You agree to:
- Provide accurate, current information
- Maintain the confidentiality of your credentials
- Accept responsibility for all activities under your account
We may suspend or terminate accounts that violate these Terms or pose security or operational risks.
4. Services and License
Olivra grants you a non-exclusive, non-transferable, limited license to use the Services in accordance with these Terms.
You may not:
- Reverse engineer, copy, or modify platform code
- Use the Services for unlawful or fraudulent activity
- Circumvent security features or access controls
- Use Olivra to build or enhance a competing product
5. User Content
You retain ownership of all data, documents, and materials you upload (“User Content”).
By submitting User Content, you grant Olivra a limited license to process, analyze, and display that content solely to operate, improve, and secure the Services. Olivra will not share, sell, or use your uploaded documents to train AI models or for any purpose other than providing the Services to your organization.
You are responsible for ensuring User Content complies with all applicable laws, trade regulations, and your organization's internal policies.
6. Compliance Use Disclaimer
Olivra automates aspects of trade compliance program management, including compliance program generation and validation, governance structure inference, regulatory scope analysis, role-based training module creation, attestation workflows, and regulatory monitoring.
Olivra does not provide legal advice. All outputs, generated documents, program sections, flags, and suggestions are informational only and must be reviewed by qualified legal or compliance counsel before being relied upon for regulatory filings, enforcement responses, or compliance decisions.
Use of Olivra does not create an attorney-client relationship and does not guarantee regulatory compliance. Users are solely responsible for all compliance decisions made in connection with or in reliance on the Services.
7. Payment and Billing
For paid plans:
- Subscriptions are billed according to the selected plan
- Prices are in U.S. dollars
- Subscriptions renew automatically unless canceled
- Non-payment may result in suspension or termination
- All fees are non-refundable except as required by law
Payments may be processed through third-party providers with their own privacy and security standards.
8. Intellectual Property
All platform code, features, content, and designs (excluding User Content) are owned by Olivra or its licensors.
You may not reproduce, distribute, modify, or derive works from Olivra's intellectual property without written permission.
9. Confidentiality
If you access non-public areas or receive proprietary information, you agree to:
- Maintain confidentiality
- Use such information only for authorized purposes
These obligations survive termination.
10. Data Protection
Olivra's handling of personal and organizational data is governed by the Olivra Privacy Policy, incorporated by reference.
By using the Services, you consent to data processing in accordance with that policy.
11. Service Availability and Updates
We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. Olivra may:
- Add, modify, or improve features
- Perform scheduled or emergency maintenance
- Retire or discontinue features that are obsolete or legally restricted
We will provide reasonable notice for material changes when possible.
12. Termination
You may stop using Olivra at any time.
We may suspend or terminate access if you:
- Violate these Terms
- Fail to pay subscription fees
- Pose security, legal, or operational risks
Upon termination, your right to use the Services ends immediately. Sections on confidentiality, intellectual property, disclaimers, and liability remain in effect.
13. Disclaimers
The Services are provided “as is” and “as available.”
Olivra makes no warranties — express or implied — regarding:
- Accuracy or completeness of outputs
- Fitness for a particular purpose
- Non-infringement
- Suitability of compliance suggestions for regulatory filings
- That use of the Services constitutes a complete or legally sufficient compliance program under any applicable regulation
All trade compliance outputs must be reviewed by qualified personnel before being relied upon for any regulatory or legal purpose.
14. Limitation of Liability
To the maximum extent permitted by law, Olivra is not liable for:
- Indirect or consequential damages
- Loss of profits, revenue, or data
- Errors arising from User Content
- Reliance on automated compliance outputs
- Third-party system failures or integrations
Total liability is limited to the amount you paid to Olivra in the preceding twelve (12) months.
15. Indemnification
You agree to indemnify and hold harmless Olivra, its employees, contractors, and affiliates from claims arising from:
- Your use of the Services
- Your violation of these Terms
- Your breach of regulatory or legal obligations
- User Content submitted to the Services
16. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any disputes must be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
17. Changes to These Terms
We may update these Terms periodically.
Updates become effective upon posting. Continued use of the Services constitutes acceptance of revised Terms. Material changes will be communicated directly before taking effect.
